Fair terms, written to be actually read.
These terms are the agreement between you and Greenote when you use our website, app and services. By creating an account or using Greenote, you agree to them.

1. The service
Greenote is an offline Windows desktop app for Indian Chartered Accountant firms. It converts bank statements (PDF, Excel or CSV) into Tally-ready vouchers, entirely on your own PC. The service also includes this website, your account dashboard, licensing, and support. Bank-statement data is processed locally and never uploaded to our servers - see the Privacy Policy for the full picture.
2. Accounts & eligibility
You need an account to activate a licence. Sign-up asks for your email, firm name and mobile number, and sign-in is by email OTP. You must provide accurate details and keep your email account secure - anyone with access to your email can access your Greenote account. Greenote is a professional tool intended for use by CA firms and their staff in the course of business.
3. Your licence
A licence is per firm, for a number of PCs. When you buy a plan, we grant your firm a non-exclusive, non-transferable licence to install and use Greenote on up to the number of PCs you have paid for - the seats included in your plan, plus any extra PCs you add. You can move a seat between PCs at any time from your dashboard or the app.
Adding PCs. You can add extra PCs to your account at any time for the per-PC price shown at checkout, up to the maximum PCs a single account supports (larger offices, contact us). An added PC runs for one year on its own renewal date. If an added PC is not renewed, your account simply returns to the number of PCs still covered.
What you may not do: resell, rent, sublicense or share your licence outside your firm; reverse-engineer, decompile or tamper with the app or its licence checks; or copy Greenote’s code, parsers or design to build a competing product.
4. Free trial
7 days, free, no card required. The trial gives you the full app so you can test it on real work. When it ends, the app stops converting new statements until you buy a licence - nothing is charged, because we never took a payment method. One trial per firm; we may decline repeat trials created to avoid paying.
5. Payments & renewals
Every payment is a one-time payment. There are no subscriptions, no auto-debit and no payment mandates. You pay via Razorpay (cards, UPI or netbanking) for an annual plan, extra PCs, Priority Support, or the capped lifetime Founding offer.
Annual plans run for one year from activation. Extra PCs and Priority Support are each a one-year purchase on their own renewal date. When a renewal is due we email you a link; renewing is always your explicit action. If you renew before a period ends, the new year stacks on top - you never lose paid time.
The Founding offer is a one-time lifetime licence for one PC. It never expires and includes free product updates and Standard Support. It does not include extra PCs or Priority Support - those remain separate, and where they recur (extra PCs, Priority Support) they are billed yearly. A lifetime licence is a right to use the software, not a claim on our time.
Prices are in INR and are final. We are not currently GST-registered; if that changes, prices may become GST-exclusive and we will say so clearly before you pay. Refunds are covered by our Refund & Cancellation Policy (the short version: 7 days, full refund, no questions).
6. Support
Your purchase licences the software; support is a separate service. Every account with an active licence, including a lifetime Founding licence, includes Standard Support at no extra cost. Priority Support is optional and separately paid.
Standard Support (included). Raise a ticket from inside the app or your dashboard; we do not offer telephone support on this plan. A real person sends a first response within two working days (usually sooner). We work to resolve issues as fast as we can; some - especially those needing a software update - take longer, and we keep you updated on the ticket. Working days are Monday to Friday, 10am to 6pm IST, excluding public holidays; during peak filing periods first response may take a little longer.
Priority Support (optional, yearly). For firms that want a faster, direct line. It is a yearly service and is not included in any lifetime or Founding offer. It provides a direct phone/WhatsApp line and priority queue, a callback scheduled within one working day, and a first response within one working day (same working day for requests raised before 1pm IST on a working day). It requires an active Greenote licence, and pauses if your licence lapses.
What support covers. Installing, activating and using Greenote, errors or unexpected behaviour in the app, and licence or billing questions. It does not cover general accounting or tax advice, your Tally setup or configuration, accounting training, or building custom formats on request - we may help with these at our discretion or as a separate paid engagement.
7. Acceptable use
Use Greenote lawfully and honestly. Don’t use it to process documents you have no right to process, don’t attempt to breach or overload our servers, don’t abuse the support channel, and don’t misuse the trial or licensing system. We may suspend accounts that do.
8. Intellectual property
We own Greenote; you own your work. The app, website, brand, parsers and all related code and content belong to Greenote. Everything you produce with the app - the vouchers, exports and your Tally data - is yours, and it lives on your PC, not ours.
9. Supported file formats
Greenote supports bank statements supplied as PDF, Excel (.xlsx, .xls) or CSV files that contain selectable text, from any bank. The Supported formats page sets out that scope in full, with sample files you can download and test before you buy.
Two categories of file are expressly outside it: scanned or image-based statements (a photocopy, photograph or scanner output, in which the page is a picture rather than text), and PDFs whose text encoding is broken or scrambled such that copying text from them produces unreadable characters. Neither contains readable text, and Greenote does not perform OCR. We make no warranty that files of these kinds, or statement layouts outside the supported formats, can be read.
We will still look at yours. If a statement does not read, you can raise a support ticket and send us the file. Where we can add support for that format we will, and it will reach you in a later update at no additional charge. We do not, however, commit to a timeline, to any particular outcome, or to supporting every layout of every bank, and a refund is not available on the ground that a file outside the supported formats could not be read - please use the free trial with your own statements first.
10. Disclaimers
Greenote assists; the CA remains responsible. Greenote reads statements and drafts vouchers so you don’t type them, but automated reading of bank documents can never be guaranteed perfect. The app is built around review-before-post for exactly this reason: always verify vouchers before posting to Tally or filing anything. You, the professional, remain responsible for your books, your clients’ books, and anything filed with authorities.
The service is provided “as is”. We work hard to keep it accurate and available, but we don’t warrant that it will be error-free or uninterrupted.
11. Limitation of liability
Our liability is capped. To the maximum extent permitted by law, Greenote’s total liability for any claim arising out of the service is limited to the fees you paid us in the 12 months before the claim arose. We are not liable for indirect or consequential losses, such as lost profits, lost data on your own systems, or penalties arising from filings you made.
12. Termination
You can leave any time; stop using the app and, if you wish, ask us to delete your account. We may suspend or terminate accounts that materially breach these terms (for example, licence abuse or reverse engineering), after reasonable notice where practical. Sections that by nature survive - IP, disclaimers, liability, governing law - survive termination.
13. Governing law
These terms are governed by the laws of India. Any dispute that we can’t resolve amicably is subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.
14. Changes to these terms
If we change these terms, you will know. We will update this page and the date at the top, and email account holders about any significant change. Continuing to use Greenote after a change means you accept the updated terms.
